CloudFix & RightSpend (Aurea, Inc.)

These Terms of Service ("Terms") govern your access to and use of the CloudFix and RightSpend services provided by Aurea, Inc. ("CloudFix", "we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms.
"Customer", "you", or "your" means the individual or entity that has subscribed to the Services.
"Services" means the CloudFix cost optimization platform and/or RightSpend EC2 optimization service, including all associated features, dashboards, APIs, and documentation.
"AWS Account" means your Amazon Web Services account connected to the Services.
"Finder" means an automated analysis that identifies a cost optimization opportunity in your AWS environment.
"Fixer" means an automated remediation applied to your AWS environment with your explicit approval.
"Subscription" means your plan level and associated usage rights as selected during signup or via AWS Marketplace.
2.1 You must be at least 18 years old and have the legal authority to bind your organization to these Terms.
2.2 You represent that you have the authority to grant the AWS IAM permissions required by the Services for the AWS accounts you connect.
2.3 By connecting an AWS account, you represent that you are authorized to do so on behalf of the account owner.
CloudFix provides automated AWS cost optimization through 75+ finders that analyze your AWS environment and recommend or apply cost-saving changes. CloudFix uses read-only IAM roles to analyze your environment and SSM Automation runbooks to apply fixes only with your explicit approval.
RightSpend optimizes EC2 costs through dynamic management of Convertible Reserved Instances. RightSpend purchases, modifies, and exchanges cRIs to match your actual compute usage, providing Reserved Instance-level pricing without long-term commitments.
We strive to provide continuous service availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any aspect of the Services with reasonable notice.
4.1 You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
4.2 You must notify us immediately of any unauthorized access or use of your account.
4.3 We reserve the right to suspend or terminate access if we suspect unauthorized use.
5.1 The Services require specific IAM roles to be deployed in your AWS account via CloudFormation templates provided by CloudFix.
5.2 CloudFix: Read-only access to analyze your environment. Write access (SSM Automation) only for fixes you explicitly approve through the dashboard.
5.3 RightSpend: Read-only access across member accounts. Write access limited to Convertible Reserved Instance operations in designated cRI accounts only.
5.4 You may revoke AWS access at any time by removing the IAM roles from your account. Note that this will affect the Services' ability to function.
5.5 We will not access your AWS environment for any purpose other than providing the Services.
You agree to:
7.1 Subscriptions are billed through AWS Marketplace and charged to your AWS account.
7.2 Pricing is based on your selected plan or, for RightSpend, a share of realized savings as described at signup.
7.3 We reserve the right to change pricing with 30 days' written notice. Changes take effect at the start of your next billing period.
7.4 Refund policies are governed by AWS Marketplace terms unless otherwise agreed in writing.
8.1 The Services, including all software, algorithms, documentation, and branding, are the exclusive property of CloudFix (Aurea, Inc.) and are protected by intellectual property laws.
8.2 You retain all rights to your AWS account data and configuration. We claim no ownership over your data.
8.3 You are granted a limited, non-exclusive, non-transferable license to use the Services for the duration of your Subscription.
9.1 Our collection and use of data is governed by our Privacy Policy and Data Processing Addendum, which are incorporated by reference.
9.2 We process AWS account metadata (configuration, cost data, resource metadata) solely to provide the Services.
9.3 We do not access application data, databases, S3 objects, or content stored in your AWS environment.
9.4 Upon termination, we will delete your data within 30 days unless retention is required by law.
You agree not to:
11.1 You may terminate your Subscription at any time by unsubscribing through AWS Marketplace or by contacting us.
11.2 We may terminate or suspend access for cause, including breach of these Terms, with reasonable notice.
11.3 Upon termination: (a) your access to the Services will end; (b) we will stop processing your AWS data; (c) we will delete your data within 30 days; (d) you should remove all CloudFix and RightSpend IAM roles and CloudFormation stacks from your AWS account.
11.4 Sections relating to intellectual property, liability, confidentiality, and dispute resolution survive termination.
12.1 The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
12.2 We do not guarantee specific cost savings. Actual savings depend on your AWS usage, configuration, and the fixes you choose to apply.
12.3 We are not responsible for any changes to your AWS environment made by you, AWS, or third parties that may affect the Services or savings calculations.
13.1 To the maximum extent permitted by law, CloudFix (Aurea, Inc.) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to the Services.
13.2 Our total cumulative liability for any claims arising from the Services shall not exceed the total fees paid by you to us in the 12 months preceding the claim.
You agree to indemnify and hold harmless CloudFix (Aurea, Inc.), its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from: (a) your breach of these Terms; (b) your use of the Services; (c) your violation of applicable laws or third-party rights.
15.1 We may update these Terms from time to time. Material changes will be communicated via email or through the Services with at least 30 days' notice.
15.2 Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
16.1 These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
16.2 Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
16.3 Before filing any legal action, you agree to first attempt to resolve the dispute by contacting us through the Trust Center contact form and engaging in good-faith negotiation for at least 30 days.
17.1 Entire Agreement: These Terms, together with the Privacy Policy and DPA, constitute the entire agreement between you and CloudFix regarding the Services.
17.2 Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
17.3 Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
17.4 Assignment: You may not assign these Terms without our written consent. We may assign these Terms to an affiliate or successor.
17.5 Force Majeure: Neither party shall be liable for delays or failures due to causes beyond reasonable control, including acts of God, AWS outages, internet disruptions, or government actions.
